These Terms and Conditions (“Terms”) govern your access to and use of the website located at badlandaircraft.com (the “Site”) and your purchase of any products, kits, components, or services (collectively, the “Products”) offered by Badland Aircraft LLC (“Badland Aircraft,” “we,” “us,” or “our”).
By accessing the Site, placing an order, or otherwise using our Products or services, you (“you,” “your,” “Customer,” or “Buyer”) agree to be bound by these Terms, our Privacy Policy, and our Refund and Returns Policy, each of which is incorporated by reference. If you do not agree to these Terms, do not use the Site or purchase our Products.
You must be at least 18 years of age and able to form a legally binding contract to use this Site or purchase Products. By using the Site, you represent and warrant that you meet these requirements. Aircraft, kits, and components are sold only to individuals and entities legally permitted to purchase and operate them in their jurisdiction.
We may revise these Terms at any time at our sole discretion. The “Last updated” date above reflects the most recent revision. Your continued use of the Site or purchase of Products after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
Badland Aircraft offers ultralight and experimental aircraft kits at varying levels of completion (the “F-Series”), individual components and parts, factory-assembled “Ready to Fly” aircraft, and related services. Product descriptions, specifications, weights, performance figures, build-time estimates, and prices are provided for general informational purposes and may vary based on configuration, options, engine selection, covering, build quality, and other factors. Specifications and performance figures are estimates and are not guarantees.
We reserve the right to modify, discontinue, or change the design, specifications, components, suppliers, pricing, or availability of any Product at any time without prior notice.
Please read this section carefully. It is fundamental to your purchase.
Aviation, and the building and operation of ultralight and experimental aircraft, is inherently dangerous and can result in serious injury, permanent disability, or death. By purchasing, building, assembling, owning, or operating any Product, you knowingly and voluntarily acknowledge, accept, and assume all risks associated with such activities, whether arising from the Products, your own actions or inaction, the actions of others, equipment, weather, mechanical failure, build errors, or any other cause, whether or not foreseeable.
You acknowledge that no aircraft, kit, or component is free from the possibility of defect or failure, that you are responsible for your own safety and the safety of others, and that you should obtain proper training, instruction, and qualified inspection before operating any vehicle. This assumption of risk extends to you, your heirs, and your assigns.
Kits ship crated to protect components in transit, or may be picked up in person by arrangement. Title and risk of loss pass to you upon delivery to the carrier. Delivery dates are estimates only. We are not responsible for carrier delays, damage in transit (file claims with the carrier), or events outside our reasonable control. Inspect all shipments promptly upon receipt and report discrepancies or damage within 24 HOURS.
Cancellations, returns, refunds, and restocking are governed by our Refund and Returns Policy, incorporated here by reference. Custom-built, made-to-order, and serialized items, and any non-refundable deposits, are treated as described in that policy. In the event of a conflict between these Terms and the Refund and Returns Policy regarding refunds, the Refund and Returns Policy controls.
EXCEPT FOR ANY EXPRESS LIMITED WARRANTY STATED ABOVE IN WRITING, TO THE FULLEST EXTENT PERMITTED BY LAW, ALL PRODUCTS, COMPONENTS, KITS, MATERIALS, MANUALS, AND SERVICES ARE PROVIDED “AS IS” AND “WITH ALL FAULTS.” BADLAND AIRCRAFT EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AIRWORTHINESS, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY COMPLETED VEHICLE WILL BE AIRWORTHY, WILL MEET PART 103 OR ANY OTHER REGULATORY REQUIREMENT, OR WILL BE FIT FOR FLIGHT.
Some jurisdictions do not allow the exclusion of certain implied warranties, so some of the above may not apply to you.
TO THE FULLEST EXTENT PERMITTED BY LAW, BADLAND AIRCRAFT, ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY PERSONAL INJURY, DEATH, PROPERTY DAMAGE, LOSS OF USE, LOST PROFITS, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE PRODUCTS, THEIR USE, ASSEMBLY, OR OPERATION, OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PRODUCTS OR THESE TERMS EXCEED THE AMOUNT YOU ACTUALLY PAID TO BADLAND AIRCRAFT FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to defend, indemnify, and hold harmless Badland Aircraft and its owners, members, officers, employees, agents, and suppliers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use, assembly, modification, or operation of any Product; (b) your breach of these Terms; (c) your violation of any law or regulation, including aviation regulations; or (d) injury, death, or property damage caused to you or any third party in connection with the Products.
The Site participates in affiliate and partner marketing programs and may display links to third-party products, vendors, manufacturers, and services (for example, engines, propellers, covering systems, accessories, and associations). When you click certain links and make a purchase, Badland Aircraft may earn a commission or referral fee at no additional cost to you. Some content may be sponsored or include paid placements.
In accordance with the U.S. Federal Trade Commission’s guidelines (16 CFR Part 255), we disclose that material connections may exist between Badland Aircraft and the makers or sellers of products mentioned or linked on the Site. We are not responsible for the products, content, claims, pricing, availability, or practices of any third party, and any purchase you make from a third party is governed solely by that third party’s terms.
The Site may link to third-party websites, social media, owner/builder forums, and resources (including badland103forum.org and associated groups). These are provided for convenience and are not under our control; we do not endorse and are not responsible for their content, availability, or practices.
If the Site permits you to post content (comments, forum posts, build threads, photos, reviews), you retain ownership of your content but grant Badland Aircraft a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute it in connection with the Site and our business. You are solely responsible for your content and represent that you have the rights to post it and that it is lawful, accurate, and non-infringing. We may remove any content at our discretion.
You agree not to: use the Site for any unlawful purpose; attempt to gain unauthorized access to any systems; interfere with the Site’s operation; scrape, harvest, or copy content without permission; infringe our or others’ intellectual property; or transmit malware, spam, or harmful code.
All content on the Site — including text, designs, drawings, specifications, logos, trademarks, images, videos, and the “Badland Aircraft” and “F-Series” names and marks — is the property of Badland Aircraft LLC or its licensors and is protected by U.S. and international intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works from any Site content without our prior written permission. Purchase of a Product does not grant any license to reproduce, manufacture, or resell our designs, kits, or components.
Your use of the Site is also governed by our Privacy Policy. By providing your contact information or transacting with us, you consent to receive electronic communications from us and agree that electronic records, agreements, and signatures satisfy any legal requirement that such communications be in writing.
We are not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including acts of God, natural disasters, labor disputes, supply-chain disruptions, supplier or carrier failures, war, terrorism, pandemic, governmental action, or material or component shortages.
These Terms are governed by the laws of the State of Minnesota, without regard to its conflict-of-laws rules.
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce any provision is not a waiver of our right to do so later.
These Terms, together with the Privacy Policy, the Refund and Returns Policy, and any written purchase agreement or order confirmation, constitute the entire agreement between you and Badland Aircraft regarding the Site and Products and supersede all prior agreements and understandings.
